About the Role
This position is crucial for ensuring effective corporate governance at the University. It involves providing governance support to committees and subsidiary boards, offering policy advice, ensuring delegations are observed, managing business efficiently, and meeting reporting requirements. As a company secretary for subsidiaries, the role entails ensuring compliance with relevant legislation, regulations, and policies. Additionally, it assists the University’s principal governance officers in maintaining good governance practices, advises the University community on legal and policy frameworks, and develops governance resources.
Your responsibilities will include:
- Provide comprehensive corporate governance support to subsidiary companies, governance committees, and principal governance officers, ensuring compliance with relevant legislation, regulations, and policies.
- Act as a company secretary for subsidiary companies, overseeing statutory obligations, preparing reports, coordinating board meetings, and advising on governance matters.
- Advise and support the University community on governance policies, legislation, and protocols, ensuring effective communication and implementation of governance decisions.
Who we are looking for
We are seeking a highly organised and detail-oriented governance expert with extensive experience in providing company secretary and/or corporate governance support. The ideal candidate will have, or be able to cultivate, a deep understanding of University legislation, policies, and external frameworks. Strong communication, problem-solving, and analytical skills are essential, along with the ability to work independently and collaboratively. Demonstrated experience in interpreting, applying, explaining and developing policies, guidelines, procedures and complex rules is essential. Experience managing sensitive information and a proven track record of success in a committee support or company secretary role is also desirable.
You will also have a postgraduate degree in a relevant discipline, a degree in Law, AICD or other recognised company secretary qualification, or an equivalent combination of relevant experience and/or education and training.

This role requires the successful candidate to undergo and maintain an up-to-date Working with Children Check. This is essential to guarantee a secure environment for all individuals at the University. In the case the selected candidate doesn't have a valid Working with Children Check, they will be able to apply for the WWCC as part of the initial onboarding procedures.
